1. About Ellite Assistant

Ellite Assistant provides remote business support, virtual assistant services, administrative assistance, customer support, bookkeeping support, recruitment support, marketing assistance, executive assistance, and other business-related services to businesses and professionals worldwide.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our services.

3. Services

Ellite Assistant provides services remotely through email, phone, chat, video meetings, project management platforms, and other agreed communication channels.

Service scope will be based on the subscription plan, proposal, or service agreement accepted by the client.

4. Client Responsibilities

The Client agrees to:

• Provide accurate information and instructions.
• Provide necessary access, credentials, and permissions.
• Maintain valid software licenses where required.
• Review completed work promptly.
• Respond to requests for clarification in a timely manner.
• Use our services only for lawful purposes.

The Client remains responsible for all business decisions and legal compliance.

5. Payment Terms

All subscription plans are billed in advance.

Invoices are payable according to the agreed payment schedule.

Late payments may result in suspension of services until outstanding balances are cleared.

Ellite Assistant reserves the right to charge applicable taxes and payment processing fees where required.

6. Cancellation

Either party may terminate a monthly subscription by providing 30 days' written notice.

Services will continue during the notice period unless otherwise agreed.

Completed work and outstanding invoices remain payable.

7. Service Hours & Rollovers

Unused service hours may only roll over if included in the purchased plan.

Hours that are not eligible for rollover expire at the end of the billing cycle.

Unused hours are non-refundable.

8. Confidentiality

Ellite Assistant treats all client information as confidential.

We will not disclose confidential information to any third party unless:

• Required by law;
• Authorized by the Client; or
• Necessary to deliver the agreed services.

This obligation continues even after the business relationship ends.

9. Intellectual Property

All work created specifically for the Client becomes the Client's property once full payment has been received.

Ellite Assistant retains ownership of its internal processes, templates, methodologies, software, documentation, and proprietary materials developed independently of Client projects.

10. Data Security

We implement commercially reasonable administrative and technical safeguards to protect client information.

Clients remain responsible for maintaining the security of their own systems, passwords, and access credentials.

11. Acceptable Use

Clients may not request services involving:

• Illegal activities
• Fraud
• Money laundering
• Spam or unsolicited marketing
• Copyright infringement
• Distribution of malware
• Hate speech
• Harassment
• Pornographic or unlawful content
• Any activity that violates applicable laws

Ellite Assistant reserves the right to refuse or terminate services related to prohibited activities.

12. Non-Solicitation

Clients agree not to directly hire, employ, or contract any Ellite Assistant employee, contractor, or assigned virtual assistant during the engagement and for 12 months after termination without written consent.

If this clause is breached, the Client agrees to pay a placement fee of USD $5,000.

13. Service Availability

We strive to deliver high-quality services; however, all services are provided on a best-effort basis.

Ellite Assistant does not guarantee specific business results, revenue, sales, appointments, or commercial outcomes.

14. Limitation of Liability

To the maximum extent permitted by law, Ellite Assistant shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, business opportunities, or data.

Our total liability shall not exceed the fees paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.

15. Force Majeure

Ellite Assistant shall not be liable for delays or failure to perform caused by circumstances beyond reasonable control, including natural disasters, internet outages, cyberattacks, government actions, labor disputes, pandemics, or other force majeure events.

16. Privacy

Your personal information is handled in accordance with our Privacy Policy.

By using our services, you consent to the collection and processing of information necessary to provide our services.

17. Changes to These Terms

Ellite Assistant may update these Terms from time to time.

Updated versions become effective immediately upon publication on our website unless otherwise stated.

18. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Ellite Assistant is legally registered.

Any disputes shall first be resolved through good-faith negotiations. If unresolved, they shall be submitted to arbitration or the competent courts of the applicable jurisdiction.
